Competition Tribunal Approves SII Rail Investments’ Acquisition of Traxtion

The Competition Tribunal of South Africa has unconditionally approved a merger in which SII Rail Investments GP (Pty) Ltd (SII) will acquire control of Traxtion (Mauritius) Ltd (Traxtion).

According to the Tribunal’s latest merger alert, SII is a South African-registered investment vehicle with a diversified portfolio of domestic infrastructure assets, primarily in the renewable energy and digital infrastructure sectors. SII is controlled by STANLIB Infrastructure Fund II, a private infrastructure fund ultimately controlled by Standard Bank Group Ltd.

Traxtion is registered in Mauritius and provides freight rail services in South Africa through a subsidiary. Its activities include the leasing and maintenance of locomotives and rolling stock, the supply of rail components, and the provision of technical, safety, compliance and training services.
